These Terms of Service (“Terms”) govern your access to and use of vesperscalling.com and the consulting, social media marketing, digital marketing, e-commerce marketing, media buying, and related services provided by Loyalty Vesper LLC (“Company,” “we,” “us,” or “our”).

By accessing our website, engaging our services, accepting a proposal or invoice, or otherwise entering into a business relationship with us, you agree to these Terms.

3. Client Responsibilities

Clients agree to provide accurate, complete, and timely information necessary for us to perform the agreed services.

Where necessary, clients may provide access to websites, advertising accounts, social media accounts, e-commerce platforms, analytics tools, or other business systems.

Clients are responsible for ensuring that they have the necessary rights and authorization to provide such access.

The client remains responsible for its products, services, business practices, advertising claims, customer relationships, legal compliance, and the accuracy of materials or information supplied to Loyalty Vesper LLC.

4. Fees and Payment

Fees for our services will be communicated before or during the engagement and may be specified in an invoice, proposal, contract, or other written agreement.

Unless otherwise agreed in writing, payments must be made according to the payment terms stated on the applicable invoice.

Clients are responsible for providing accurate billing information.

Any applicable taxes, transaction fees, payment processing fees, or other charges may be added where permitted or required by law.

Failure to make payment when due may result in suspension or termination of services.

5. Advertising and Third-Party Costs

Unless expressly stated otherwise in writing, our consulting or management fees do not include advertising spend or fees charged by third-party platforms.

The client is responsible for advertising budgets and charges imposed by platforms such as social media networks, search engines, e-commerce platforms, software providers, analytics providers, or other third-party services.

Loyalty Vesper LLC does not control third-party pricing, policies, account decisions, platform availability, or changes to their services.

6. No Guarantee of Results

Marketing, advertising, social media, and e-commerce performance depend on numerous factors outside our control.

While we aim to provide professional services designed to improve marketing and business performance, Loyalty Vesper LLC does not guarantee any specific level of revenue, sales, profit, return on advertising spend, audience growth, conversion rate, customer acquisition cost, advertising performance, or other business result.

Past performance, projections, forecasts, estimates, or examples do not constitute guarantees of future results.

7. Third-Party Platforms

Our services may involve third-party platforms and services, including advertising networks, social media platforms, analytics tools, e-commerce platforms, payment providers, hosting services, and other software.

Clients acknowledge that these platforms operate independently and are subject to their own terms, policies, algorithms, technical systems, and account-review procedures.

Loyalty Vesper LLC is not responsible for interruptions, restrictions, account suspensions, advertising rejections, algorithm changes, outages, data loss, or other actions caused by third-party platforms, except to the extent responsibility cannot legally be excluded.

8. Intellectual Property

Unless otherwise agreed in writing, Loyalty Vesper LLC retains ownership of its pre-existing intellectual property, methodologies, strategies, processes, templates, systems, know-how, tools, and materials.

Upon full payment of applicable fees, the client may use final deliverables specifically created for the client according to the terms of the applicable agreement.

Third-party materials remain subject to the intellectual property rights and licensing terms of their respective owners.

Clients represent that they have the necessary rights to any logos, images, videos, trademarks, data, content, or other materials they provide to us.

9. Confidentiality

Each party may receive confidential or commercially sensitive information from the other party.

Both parties agree to use reasonable measures to protect confidential information and not disclose it to third parties except where necessary to provide the services, with authorization, or where disclosure is required by law.

Confidential information does not include information that is publicly available through no breach of these Terms, independently developed without reference to confidential information, or lawfully obtained from another source.

10. Data Protection and Privacy

Our collection and processing of personal information are described in our Privacy Policy available on vesperscalling.com.

Clients remain responsible for ensuring that personal information, customer data, audience data, and other information provided to us has been collected and shared in accordance with applicable privacy and data protection laws.

Where Loyalty Vesper LLC processes personal information on behalf of a client, additional data-processing terms may apply where required by applicable law.

11. Cancellation and Termination

Either party may terminate a service engagement according to the cancellation or termination provisions contained in the applicable proposal, contract, statement of work, or other written agreement.

If no specific termination provisions have been agreed upon, either party may request termination by written notice.

Fees for services already performed, expenses already incurred, and other amounts already due remain payable following termination.

Payments already earned for completed services are non-refundable except where otherwise agreed in writing or required by applicable law.

12. Refunds

Refund eligibility, if any, will depend on the specific service agreement and circumstances.

Because consulting and marketing services involve time, expertise, strategy, analysis, and work performed on behalf of clients, fees relating to services already delivered or work already performed are generally non-refundable, except where required by applicable law.

Any specific refund terms stated in a proposal, contract, or invoice will apply to that engagement.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Loyalty Vesper LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business opportunities, customers, data, or goodwill arising from the use of our website or services.

To the maximum extent permitted by applicable law, our aggregate liability arising from a particular service engagement will not exceed the amount paid by the client to Loyalty Vesper LLC for the services giving rise to the claim during the applicable engagement.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

14. Indemnification

To the extent permitted by applicable law, clients agree to indemnify and hold Loyalty Vesper LLC harmless from third-party claims, damages, liabilities, or reasonable expenses resulting from materials, instructions, products, services, advertising claims, or information supplied by the client, or from the client’s violation of applicable law or third-party rights.

This provision does not apply to the extent a claim results from conduct for which Loyalty Vesper LLC is legally responsible.

15. Website Use

You agree not to use vesperscalling.com for unlawful, fraudulent, abusive, or unauthorized purposes.

You may not attempt to interfere with the website’s operation, gain unauthorized access to systems or information, introduce malicious software, or misuse content available through the website.

16. Independent Contractor Relationship

Unless expressly agreed otherwise in writing, Loyalty Vesper LLC provides its services as an independent contractor.

Nothing in these Terms creates an employment relationship, partnership, joint venture, franchise, or agency relationship between Loyalty Vesper LLC and a client.

17. Force Majeure

Neither party will be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, government actions, internet or infrastructure failures, major platform outages, labor disruptions, war, civil unrest, or other events that could not reasonably have been prevented.

This provision applies only to the extent permitted by applicable law.

18. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles, except where mandatory laws applicable to a client or consumer require otherwise.

Any dispute arising from these Terms or our services will be handled in accordance with applicable law and any dispute-resolution provisions separately agreed between the parties.

19. Changes to These Terms

We may update these Terms periodically to reflect changes to our services, business practices, or applicable requirements.

The updated Terms will be published on vesperscalling.com with a revised “Last Updated” date.

Changes will apply prospectively unless otherwise permitted by applicable law.
